For many successful entrepreneurs, the biggest single financial event of their careers will be the sale of their company. The sale, if executed effectively, can eclipse all the years of income in the business.

The challenge though, with the rise of private equity firms, venture capital and strategic buyers, is that the level of sophistication of buyers has risen exponentially. For the entrepreneur, it might be the first or second deal they have ever done, while the buyer may have done dozens or hundreds this year!

It is absolutely critical that successful growth company entrepreneurs understand the M&A process intimately. Even if there are no plans to sell the company in the near term, there are critical things that must be in place today to maximize the future value. While we say it is never too early to start thinking about the exit strategy, the most important work should happen 24 – 36 months before taking the company to market. Of course it can happen faster, but that is the ideal window.

PROGRAM

The program is a four-day, full immersion education on preparing to - and ultimately, successfully - selling a private company.

During this program we will teach:

  1. The 7 value drivers that most growth company entrepreneurs either miss or underestimate.
  2. Talk at length about what steps you can take today to maximize future value.
  3. Walk through the pros and cons of different buyer types including: Private Equity, Venture Capital, Institutional, and Strategic Buyers.
  4. Share the playbooks and tactics most common to each buyer group and how to mitigate any disadvantages.
  5. Go over a variety of transaction types, clarify the current landscape of confusing deal structures, the explain terms common to different buyer groups.

Most importantly we will go deep on the mindsets that are critical to success. Much of the sophistication of today’s savvy buyers revolve around the psychology of transactions and gaining an advantage over less sophisticated sellers.

Finally, we will also cover the mindset of post transaction life, whether you chose a future role in the organization or simply worked through a transition, planning for life after the deal is imperative.

JOHN RATLIFF

MANAGING DIRECTOR

John Ratliff is a co-founder and partner of align5 and is responsible for leading all of the firm’s strategic initiatives.

Prior to founding align5, John was the President and CEO of Appletree Answers, and grew the company through a series of acquisitions to 24 US- based locations and 650 employees before it was sold to a strategic buyer in June 2012.

CHAD WILLIAMS

Chad Williams is a co-founder and partner of align5 and is responsible for leading the company’s business development, as well as content development and delivery.

Prior to founding align5, Chad practiced law for nearly 15 years, with a specialization in business law and mergers and acquisitions. Chad was a partner with Saul Ewing LLP, an AMLaw 200 law firm based in Philadelphia, PA, where he was a leader in the Business and Finance Department, chairman of both the Private Equity and Venture Capital practice group and the Family Enterprise Practice Group.
